Field Associate Contractor Agreement

Please read this field associate contractor agreement carefully before completing the online application that follows. This agreement sets forth the terms and conditions of your relationship with Assosia Ltd (hereinafter referred to as "Assosia Ltd").

1. Individuals (hereafter "associates" or "associate") who accept projects from Assosia Ltd, are independent contractors and are NOT employees or agents of Assosia Ltd, and Assosia Ltd is not your employer. Assosia may request your services from time to time on an assignment basis.

2. Assosia will not withhold Income Tax, National Insurance, or any other taxes from any payment you are due or may receive from Assosia, and Assosia will not pay any other taxes on your behalf. You are solely responsible for any taxes due from any payment you receive from Assosia.

3. An Account Manager from Assosia Ltd may contact you to offer projects or assignments. You are under no obligation to accept any project offered and Assosia Ltd is under no obligation to provide you with any projects.

4. The payment for each project offered by Assosia Ltd is clearly stated at the start of each project.

5. Some Assosia Ltd projects may require out-of-pocket purchases. Associates are reimbursed for such purchases, up to the maximum limit agreed at the start of the project. All reimbursements require a valid, accurate receipt, and the associate understands that reimbursement may be withheld if such a receipt is not provided to Assosia Ltd.

6. The guidelines set forth by Assosia Ltd for each project pertain only to the data or other information requested by our clients for that specific project. Associates will only be paid upon Assosia receiving the information or test results within the time frame specified and agreed upon, that the project is completed in full and all criteria met as per the guidelines as set forth by us and our clients. If any information or data relevant to an assignment is not received within the agreed timeframe without prior written agreement from Assosia, is found to be false in any way the associate understands that they may not be paid for that project and legal action may be taken.

7. Payment: Payments for projects completed between the 1st and 15th of the month will be due for processing on the 30th of that month. Payments for projects completed between the 15th and 30th of the month will be due for processing on the 15th of the following month. You will be emailed confirmation of the payments to be processed and released on each processing date. Please allow 5-7 days from the processing date for funds to reach your account. If this date falls on a weekend or bank holiday, payment is issued the next business day. Assosia Ltd reserves the right to revise this schedule at its discretion.

8. You are not to duplicate or disseminate any of Assosia Ltd's materials, or any part thereof, in any way or form, without prior written consent of Assosia Ltd.

9. The associate agrees never to: (1) disclose the names and/or locations of Assosia Ltd clients to anyone; (2) convey the results of their findings with anyone other than Assosia Ltd; (3) contact Assosias' client's management or other personnel in regard to a specific project (unless expressly authorised to do so in writing by Assosia Ltd); (4) will not solicit or accept orders for products, services, competitive with ours from any of our customers with whom they have dealt during any assignments with us (5) use any of Assosia Ltd or its clients' information or materials for purposes other than the agreed-upon project. Completed reports and other information gathered during any project are for the exclusive use and knowledge of Assosia Ltd and its clients. All forms, equipment and other materials are copyrighted and remain the exclusive property of Assosia Ltd and/or its clients.

10. Assosia Ltd is not liable for any accidents, injuries, losses, legal liabilities, physical actions, or other negative occurrences to the associate before, during or after the project or when visiting a client's location, and/or utilising a client's product or service. Furthermore, the associate agrees to indemnify and hold harmless and make no claim against Assosia Ltd, its employees, agents or other representatives, and its clients, relevant to any claim asserted against another party.

11. I confirm that I am not employed in any capacity by a competitor of Assosia Ltd and that I have not been asked to sign up on behalf of another agency to gather confidential information in regards to Assosia’s clients or working practices. I confirm that I have signed up as a private individual and will abide by all terms and conditions herein.

12. In the event you are unable to perform an accepted assignment, you agree to notify Assosia Ltd promptly by phone so that the assignment can be offered to another associate

13. I understand that by ticking/clicking "I Agree" below, I am expressing my interest in participating in projects from Assosia Ltd as an independent contractor, and not as an employee or agent of Assosia Ltd in any way. If my services are retained, I will be solely responsible for reporting all income received from Assosia Ltd, and for paying all pertinent taxes, and any other taxes and/or assessments levied by governmental authorities, as well as all other pertinent liabilities or payments. I understand that during my participation in the project(s), I will remain free to perform services for any other person or business, so long as I abide by the terms and conditions stated herein. I also understand that my participation is not guaranteed, that Assosia Ltd may discontinue my services at any time and for any reason with notice it deems appropriate. I am free to cancel assignments I have accepted, per the terms stated herein. I certify that all information given on the field associate application is complete, accurate and true, and that any falsification of information on this questionnaire and/or failure to supply requested information will result in disqualification from the program.
